CONDITIONS OF SALE

1. All orders for DG Protective Coatings (DGPC) are accepted and executed on the understanding that the Purchaser is bound by the conditions contained herein which shall form the contract of purchase to the exclusion of all other terms whether agreed between the parties prior or subsequent to the date hereof except those terms agreed and confirmed in writing by DGPC.

2. Any delivery date quoted shall be treated as an estimate only, and DGPC shall not be liable for any losses arising from its failure to meet such delivery date.

3. Payment. Unless previously agreed in writing by DGPC, payment must be made within 30 days following the date of the relevant invoice. We understand and will exercise our statutory right to claim interest and compensation for debt recovery costs under the Late Payment Legislation if we are not paid according to agreed credit terms.

4. Non-delivery must be notified to DGPC within seven days of the date of the relevant invoice. Claims for damage, shortage, incorrect products or products found to be defective on delivery must be notified in writing in the first instance at the time of delivery on the delivery docket and to DGPC within three days of delivery, and such products and their packaging must be retained for inspection by DGPC. In all cases, DGPC's liability shall be limited to replacing the defective products or making good the shortage (as the case may be) free of charge or to refunding the charge for the products where replacement or additional supply is not possible.

5. The Purchaser will ensure that he has received all technical sheets and Health and Safety sheets relating to the goods and will at all times observe and perform the advice contained therein. The data given applies only when the product is used for the stated application or applications. The product is not sold as suitable for any other application. Use of product for applications other than stated on these sheets may give rise to risks not mentioned on these sheets. The product should not be used other than for the stated applications.

If the Purchaser has purchased the product for supply to a third party, it is the Purchaser's duty to take all necessary steps to ensure that any person handling or using the product is provided with the information in this sheet.

If the Purchaser is an employer, it is the Purchaser's duty to tell his employees and others who may be affected of any hazards described in these sheets, and of any precautions which should be undertaken.

6. Goods represented by the Purchaser to be defective must be notified to DGPC within thirty days of delivery, and shall not form the subject of any claim for work done by the Purchaser or for any loss, damage or expense whatsoever arising directly or indirectly from such defects. DGPC shall at its discretion either replace the products or refund the charge for the products. Any such defects shall not be a ground for cancellation of the remainder of the order.

7. Unless otherwise agreed in writing by DGPC, the property in the products shall not pass to the Purchaser until such time as the Products are paid for in full. Nevertheless the risk in the products shall pass to the Purchaser when the products are delivered to the Purchaser or to any third part on the Purchaser's instructions.

8. DGPC shall have the right to discontinue delivery and also to determine the contract in respect of any un-delivered products if the Purchaser defaults in payment.

9. In no circumstances may products supplied be returned without the Purchaser having first applied for and obtained the written consent of DGPC.

10. These conditions of sale shall be construed in accordance with English law and English courts shall have exclusive jurisdiction with regard thereto.
